1. Introduction and Merchant of Record
Welcome to Syntropi (referred to herein as "we," "us," "our," or the "Service Provider"). We are an independent development team providing an AI-powered cognitive operating system, including features such as the "Infinite Canvas," and the "Feynman Multiverse Lab" (the "Service").
1.1 Merchant of Record: Our order process is conducted by our online reseller Lemon Squeezy. Lemon Squeezy is the Merchant of Record for all our orders. By purchasing a subscription or any digital goods through our Service, you are also agreeing to Lemon Squeezy's Terms of Sale and Privacy Policy. All customer service inquiries regarding billing, refunds, and payment processing are handled in conjunction with Lemon Squeezy.
2. AI Disclaimer and Risk Assumption
The Service incorporates experimental third-party Large Language Models (LLMs) to analyze documents, simulate logic, and generate counter-arguments (e.g., via our "Devils Advocate" feature).
Not Professional Advice: All AI-generated outputs, simulations, and insights are for entertainment, brainstorming, and educational purposes ONLY. They do NOT constitute professional legal, medical, financial, or business advice.
Accuracy Not Guaranteed: You acknowledge that AI systems can produce false, misleading, or nonsensical information ("hallucinations"). You are entirely responsible for verifying any output before relying on it. We disclaim all liability for any decisions or actions taken based on the Service's output.
3. Account Access and Usage Quotas
Account Security: You are responsible for all activities under your account. You must maintain the confidentiality of your login credentials (including Google OAuth associations).
System Limits: Free tier accounts are subject to strict limitations, including AI energy quotas, storage limits, and a maximum number of active nodes on the canvas. Any attempt to circumvent these limitations via automated scripts or API exploitation will result in immediate termination without notice.
4. Subscriptions, Payments, and No-Refund Policy
Pro Upgrades: Upgrading to a PRO membership unlocks higher quotas and premium cognitive frameworks.
Billing: All subscription fees are billed in advance on a recurring basis through Lemon Squeezy.
No Refunds: Due to the immediate and high non-recoverable costs of API compute (LLM processing) required to deliver the Service, all payments are strictly non-refundable, except where explicitly required by mandatory consumer protection laws in your jurisdiction or dictated by Lemon Squeezy's strict refund policies.
5. User Content and Intellectual Property
Your Ownership: You retain all rights and ownership to the documents (PDFs, ePubs, text) and links you upload into the Omni-Input Matrix. You represent that you have the legal right to upload and process such content.
License to Process: By uploading content, you grant us a temporary, non-exclusive license to parse, index (via pgvector), and process this content strictly to provide the Service to you. We do not use your private content to train our foundational models.
Data Portability: You may use the "Export Galaxy" feature to export your data structure at any time.
DMCA / Takedown: If we receive a valid copyright infringement notice regarding content you have uploaded or linked (e.g., YouTube transcripts), we reserve the right to immediately remove or disable access to the infringing material and terminate your account if you are a repeat infringer.
6. Acceptable Use Policy
You agree NOT to:
Upload confidential, illegal, or highly sensitive personal data without proper authorization.
Reverse engineer, decompile, or extract the underlying logic, Prompts, or multi-agent configurations of the Service.
Use the Service's outputs to develop, train, or improve competing AI models.
Engage in any activity that disrupts or manipulates our infrastructure or the physics-driven UI engines.
7. Absolute Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. IN NO EVENT SHALL THE SERVICE PROVIDER OR ITS DEVELOPERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA (INCLUDING CANVAS GRAPHS), OR BUSINESS OPPORTUNITIES.
UNDER NO CIRCUMSTANCES WILL OUR TOTAL, AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNTS YOU PAID TO LEMON SQUEEZY FOR THIS SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (B) FIFTY US DOLLARS ($50.00 USD).
8. Governing Law and Binding Arbitration
8.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law principles.
8.2 Binding Arbitration: Any dispute, controversy, difference, or claim arising out of or relating to this contract, including its existence, validity, interpretation, performance, breach, or termination, shall be referred to and finally resolved by binding arbitration administered by the Singapore International Arbitration Centre (SIAC) under the SIAC rules in force. The seat of the arbitration shall be Singapore. The language of the arbitration shall be English.
8.3 Class Action Waiver: YOU AGREE THAT YOU MAY BRING CLAIMS AGAINST US ONLY IN YOUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
9. Termination
We may suspend or terminate your access to the Service at any time, for any reason (including breach of these Terms or quota abuse), without prior notice or liability. Upon termination, your right to use the Service will immediately cease.
